Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MoniSub ("MoniSub," "we," "us," or "our") governing your access to and use of the MoniSub subscription management platform, including our website, application, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

MoniSub is a subscription management platform that provides:

  • Tracking and management of recurring subscriptions
  • AI-powered receipt parsing and automatic subscription detection
  • Email integration for automatic subscription discovery (optional)
  • Subscription analytics and spending insights
  • Renewal reminders and price change notifications
  • Multi-currency and multi-region support
  • Service catalog with pricing information

MoniSub is provided on an "as-is" and "as-available" basis.

3. Eligibility

3.1 Age Requirement

You must be at least 18 years of age to use the Service. By using MoniSub, you represent and warrant that you are at least 18 years old.

3.2 Legal Capacity

You represent and warrant that:

  • You have the legal capacity to enter into these Terms
  • You are not prohibited from using the Service under applicable laws
  • All information you provide is accurate and complete

3.3 Account Limitations

You may only create one account per email address. Creating multiple accounts to circumvent restrictions or limitations is prohibited.

4. Account Registration and Security

4.1 Account Creation

To use certain features of MoniSub, you must register for an account by providing:

  • A valid email address
  • A secure password
  • Your full name
  • Regional and currency preferences

Alternatively, you may register using OAuth authentication through supported providers (Google).

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Using a strong, unique password

We are not liable for any loss or damage arising from your failure to maintain account security.

4.3 Account Information Accuracy

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Not impersonate any person or entity
  • Not use another person's account without permission

5. Acceptable Use

5.1 Permitted Use

You may use MoniSub only for lawful purposes and in accordance with these Terms. Specifically, you may:

  • Track your personal subscriptions
  • Upload receipts and invoices you have received
  • Connect email accounts you own or have authorization to access
  • Use analytics and insights for personal financial management

5.2 Prohibited Activities

You agree NOT to:

Account Misuse:

  • Create accounts using false or misleading information
  • Share your account with others or allow unauthorized access
  • Create multiple accounts to circumvent limitations
  • Use automated systems (bots, scrapers) to access the Service without permission

Content Violations:

  • Upload malicious files, viruses, or harmful code
  • Upload files you do not have the right to upload
  • Submit false or fraudulent subscription information
  • Upload excessively large files beyond stated limits (10MB per file)

System Abuse:

  • Attempt to gain unauthorized access to any part of the Service
  • Probe, scan, or test vulnerabilities without authorization
  • Interfere with or disrupt the Service or servers
  • Circumvent rate limiting, security measures, or access controls
  • Reverse engineer, decompile, or disassemble any part of the Service

Third-Party Service Abuse:

  • Connect email accounts you do not own or have permission to access
  • Use OAuth connections in violation of third-party terms (Google, Microsoft)
  • Abuse API integrations or automated features

Commercial Misuse:

  • Use the Service for commercial purposes without authorization
  • Resell or redistribute the Service
  • Use the Service to compete with MoniSub

Legal Violations:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Engage in fraudulent activities
  • Harass, threaten, or harm others

5.3 Enforcement

Violation of these Terms may result in:

  • Warning or notification
  • Temporary suspension of your account
  • Permanent termination of your account
  • Legal action if necessary

We reserve the right to investigate violations and cooperate with law enforcement.

6. Intellectual Property Rights

6.1 MoniSub's Intellectual Property

The Service, including all content, features, functionality, software, code, design, graphics, text, and trademarks, is owned by MoniSub and protected by copyright, trademark, patent, and other intellectual property laws.

You may not:

  • Copy, modify, or create derivative works of the Service
  • Use MoniSub trademarks, logos, or branding without permission
  • Remove or alter any copyright, trademark, or proprietary notices
  • Frame or mirror any part of the Service

6.2 Your Content

You retain ownership of all content you upload to MoniSub, including:

  • Subscription information you enter
  • Receipts and documents you upload
  • Notes and custom data you create

License to MoniSub: By uploading content, you grant MoniSub a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and display your content as necessary to provide the Service
  • Generate analytics and insights from your data

Your Responsibilities: You represent and warrant that:

  • You own or have the necessary rights to all content you upload
  • Your content does not violate any laws or third-party rights
  • Your content does not contain malicious code or viruses

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant MoniSub an unlimited, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback without attribution or compensation.

7. Third-Party Services and Integrations

7.1 Third-Party Providers

MoniSub integrates with third-party services, including:

  • Google OAuth: For authentication and optional email access
  • Microsoft OAuth: For Outlook email integration
  • OpenAI: For AI-powered receipt parsing
  • Cloud Storage Providers: For file storage (if enabled)

You acknowledge that:

  • Use of these integrations is subject to the third parties' terms of service and privacy policies
  • MoniSub is not responsible for third-party services' availability, functionality, or data practices
  • Third-party services may change or discontinue without notice

7.2 Email Integration

If you choose to connect your email account:

  • You grant MoniSub limited permission to access subscription-related emails only
  • You must have the authority to grant this permission
  • You can revoke access at any time through account settings
  • MoniSub will only access emails for the purpose of detecting subscription receipts

7.3 No Endorsement

MoniSub does not endorse, guarantee, or assume responsibility for any third-party services, including subscription services listed in our catalog.

8. Service Availability and Modifications

8.1 Service Availability

MoniSub strives to provide reliable service, but we do not guarantee:

  • Uninterrupted or error-free operation
  • That the Service will be available at all times
  • That defects will be corrected immediately
  • That the Service is free from viruses or harmful components

Scheduled Maintenance: We may perform scheduled maintenance with or without notice. We will make reasonable efforts to notify you of planned downtime.

8.2 Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any feature of the Service at any time
  • Impose limits on features (file size, number of subscriptions, API calls)
  • Change pricing or introduce new fees (with advance notice)
  • Update these Terms as necessary

Notice of Material Changes: For material changes affecting your rights, we will provide at least 30 days' notice via email or in-app notification.

8.3 Beta Features

We may offer beta, experimental, or preview features that:

  • Are provided "as-is" with no warranties
  • May be unstable or incomplete
  • May be modified or discontinued without notice
  • Should not be relied upon for critical use

9. Fees and Payment

9.1 Current Service Model

MoniSub is currently provided free of charge. We reserve the right to introduce fees, subscriptions, or premium features in the future.

9.2 Future Paid Features

If we introduce paid features:

  • Free users will receive at least 30 days' notice
  • Existing free features may be grandfathered or subject to limitations
  • Paid subscriptions will be governed by additional payment terms
  • Refund policies will be specified at the time of introduction

9.3 Taxes

You are responsible for all taxes associated with your use of the Service.

10. Data and Privacy

10.1 Privacy Policy

Your use of MoniSub is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10.2 Data Processing

By using MoniSub, you acknowledge and agree that:

  • We will process your data as described in the Privacy Policy
  • We may use anonymized, aggregated data for analytics and service improvement
  • Uploaded receipts may be processed using third-party AI services (OpenAI)
  • Email content may be accessed for subscription detection if you enable email integration

10.3 Data Security

While we implement industry-standard security measures, you acknowledge that:

  • No system is completely secure
  • You use the Service at your own risk
  • You are responsible for backing up important data

10.4 Data Retention and Deletion

  • You may delete your account at any time through account settings
  • Upon account deletion, all personal data will be permanently deleted within 30 days
  • Backup copies may be retained for up to 90 days
  • Certain data may be retained longer if required by law

11. Disclaimers and Limitations of Liability

11.1 Service Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Accuracy: We do not guarantee the accuracy of AI-parsed receipt data, service catalog pricing, or subscription information
  • Completeness: We do not guarantee that all subscriptions will be detected automatically
  • Reliability: We do not guarantee uninterrupted or error-free service
  • Security: We do not guarantee that the Service is free from viruses, malware, or security vulnerabilities
  • Fitness for Purpose: We do not guarantee that the Service will meet your specific requirements

SPECIFICALLY:

  • Receipt parsing accuracy may vary depending on receipt format, quality, and language
  • Service catalog pricing may be outdated or incorrect
  • Email detection may miss subscriptions or detect false positives
  • Analytics and insights are for informational purposes only

11.2 Financial Disclaimer

MoniSub is a subscription tracking tool, NOT financial advice:

  • We do not provide financial, accounting, tax, or legal advice
  • All decisions based on MoniSub data are your sole responsibility
  • You should verify all financial information independently
  • Consult qualified professionals for financial planning

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Errors in receipt parsing or subscription detection
  • Unauthorized access to your account due to your negligence
  • Third-party services or integrations
  • Any damages exceeding $100 USD (or equivalent in your local currency)

THIS LIMITATION APPLIES EVEN IF:

  • We have been advised of the possibility of such damages
  • A remedy fails of its essential purpose

EXCEPTIONS: This limitation does not apply to:

  • Damages caused by our gross negligence or willful misconduct
  • Liability that cannot be excluded by law (e.g., personal injury, fraud)
  • Jurisdictions that do not allow limitation of certain damages

11.4 Indemnification

You agree to indemnify, defend, and hold harmless MoniSub, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your use or misuse of the Service
  • Content you upload or submit
  • Your negligence or willful misconduct

12. Term and Termination

12.1 Term

These Terms remain in effect as long as you use the Service.

12.2 Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in account settings
  • Contacting us at contact@monisub.com

Effect of Termination:

  • Your account and all associated data will be permanently deleted within 30 days
  • You will no longer have access to the Service
  • Certain provisions of these Terms will survive termination (see Section 12.5)

12.3 Termination by MoniSub

We may suspend or terminate your account immediately, without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in fraudulent or illegal activity
  • Your account poses a security risk
  • Required by law or legal process
  • We discontinue the Service entirely

12.4 Effect of Termination

Upon termination:

  • Your right to access the Service immediately ceases
  • We may delete your account and data in accordance with our Privacy Policy
  • You remain liable for any obligations incurred prior to termination
  • You must cease all use of MoniSub intellectual property

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the European Union, without regard to conflict of law principles.

13.2 Informal Resolution

Before filing a claim, you agree to contact us at contact@monisub.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith for at least 30 days.

13.3 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Agreement to Arbitrate: You and MoniSub agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be settled by binding arbitration, rather than in court, except:

  • Small claims court actions (below jurisdictional threshold)
  • Claims for injunctive or equitable relief
  • Intellectual property disputes

Arbitration Rules:

Opt-Out: You may opt out of this arbitration agreement within 30 days of accepting these Terms by sending written notice to contact@monisub.com with your name, email, and statement that you opt out of arbitration.

Exceptions by Jurisdiction: This arbitration provision may not apply in jurisdictions where it is prohibited by law (e.g., European Union, some U.S. states with consumer protection laws).

13.4 Jurisdiction and Venue

If arbitration does not apply, you agree that:

  • Exclusive jurisdiction lies with courts in the European Union
  • You consent to personal jurisdiction in these courts
  • You waive any objection to venue

13.5 Exceptions

Nothing in these Terms prevents:

  • Either party from seeking injunctive relief in court
  • MoniSub from enforcing intellectual property rights
  • Either party from reporting violations to law enforcement

14. International Use and Export Compliance

14.1 International Access

MoniSub is controlled and operated from the European Union. We make no representation that the Service is appropriate or available for use in all locations.

If you access the Service from outside the European Union, you do so at your own risk and are responsible for compliance with local laws.

14.2 Export Controls

You agree not to:

  • Export, re-export, or transfer the Service in violation of export control laws
  • Use the Service in embargoed countries or with prohibited parties
  • Use the Service for purposes prohibited by U.S. or international laws

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any supplemental terms, constitute the entire agreement between you and MoniSub regarding the Service, superseding any prior agreements.

15.2 Amendments

We may modify these Terms at any time by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Notifying you via email or in-app notification (for material changes)

Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to changes, you must stop using the Service and delete your account.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by MoniSub.

15.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

15.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.

15.6 Force Majeure

MoniSub is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters, war, terrorism, or civil unrest
  • Government actions or regulations
  • Internet outages or infrastructure failures
  • Third-party service disruptions
  • Labor disputes or strikes

15.7 Notice

You consent to receive electronic communications and agree they satisfy any legal communication requirements.

15.8 Relationship

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and MoniSub. You have no authority to bind MoniSub in any way.

15.9 Third-Party Rights

These Terms do not confer any third-party beneficiary rights except as expressly stated.

15.10 Language

If these Terms are translated into other languages, the English version governs in case of conflict or inconsistency.
